1. Introduction

These Terms of Use ("Terms") govern your access to and use of the website, transporter portal, mobile applications, software, and related services provided by Deltreq Technologies Private Limited ("Deltreq", "we", "us", or "our").

Deltreq provides software and digital tools for transportation, logistics, fleet operations, trip management, document management, invoicing, and related business processes.

By accessing or using our services, you agree to these Terms. If you use the services on behalf of a company, partnership, or other organisation, you represent that you are authorised to accept these Terms on its behalf.

If you do not agree to these Terms, you must discontinue use of the relevant services.

3. Scope of services

Depending on the product, subscription, account permissions, and applicable customer agreement, Deltreq may provide:

Transporter and fleet management tools.

Vehicle, driver, trip, and shipment records.

Indent, dispatch, delivery, and proof-of-delivery management.

Document storage and retrieval.

Invoice creation, invoice records, and invoice-related communication.

Operational notifications and business correspondence.

Integrations with third-party services authorised by users.

Other transportation and logistics software features made available by Deltreq.

Not every feature is available to every user or account. We may introduce, modify, restrict, or discontinue features in accordance with these Terms and applicable agreements.

Where a separate written agreement governs a particular service, subscription, or enterprise deployment, that agreement will apply to the extent of any conflict with these Terms.

4. Account creation and access

Accounts may be created or provisioned by Deltreq or by an authorised administrator of the relevant organisation.

You agree to:

Provide accurate information when requested.

Keep your account credentials confidential.

Use only accounts and permissions assigned to you.

Notify Deltreq or your organisation's administrator promptly if you suspect unauthorised access.

Ensure that information submitted through your account is accurate and lawfully provided.

Comply with applicable laws, these Terms, and the policies of your organisation.

You are responsible for activities performed through your account to the extent permitted by applicable law, subject to any unauthorised access, security incident, or other circumstances for which you are not legally responsible.

Deltreq may suspend or restrict access where reasonably necessary to protect users, customer data, system integrity, legal compliance, or the operation of the services.

5. Organisation accounts and user permissions

Where an organisation uses Deltreq, its authorised administrators may control user access, roles, permissions, and business records.

Your organisation may have access to information you create or manage within its account, subject to the applicable configuration and permissions.

You must not attempt to access another organisation's information, documents, invoices, connected accounts, or records without authorisation.

Organisations are responsible for assigning appropriate permissions to their personnel and for removing access when a person no longer requires it.

Deltreq may process business records and associated personal information on behalf of the organisation that controls the relevant account. The applicable Privacy Policy explains how such information is handled.

6. Acceptable use

You must use Deltreq only for lawful and authorised business purposes.

You must not:

Use the services to commit fraud, impersonate another person, or misrepresent your authority.

Upload or transmit unlawful, malicious, deceptive, or unauthorised material.

Attempt to bypass authentication, access controls, tenant isolation, or security measures.

Interfere with the availability, integrity, or performance of the services.

Introduce malware or attempt to exploit vulnerabilities.

Access another user's account, connected email account, or private documents without permission.

Use integrations to send unsolicited, fraudulent, deceptive, or otherwise unlawful communications.

Reverse engineer, decompile, or attempt to extract source code except where expressly permitted by applicable law.

Use the services in a manner that infringes intellectual property, privacy, contractual, or other legal rights.

We may investigate suspected misuse and take proportionate action, including restricting access or referring matters to the appropriate authorities where required or justified by law.

7. Transport records and operational information

Users and organisations may create or maintain information relating to vehicles, drivers, transport assignments, indents, trips, deliveries, proof of delivery, expenses, and other operational activities.

You are responsible for ensuring that information you submit is accurate, complete, current, and appropriate for the intended business purpose.

Deltreq provides software tools to record, organise, and communicate operational information. Unless expressly agreed in writing, Deltreq does not independently verify every entry made by users or guarantee the accuracy of information supplied by transporters, customers, drivers, vendors, or other parties.

You remain responsible for complying with applicable transportation, safety, tax, documentation, and record-keeping requirements.

8. Invoices, billing documents, and financial records

Deltreq Transporter may provide tools to create, store, manage, and communicate invoices and related billing documents.

8.1 Responsibility for invoice information

The user or organisation creating an invoice is responsible for verifying its accuracy, including:

The identity and details of the supplier and customer.

Invoice number and date.

Description of services and transport charges.

Quantity, rates, totals, discounts, and other calculations.

Applicable taxes, GST details, and statutory particulars.

Payment terms, bank details, and other payment instructions.

Deltreq provides software functionality for preparing and managing invoices. Unless expressly agreed otherwise, it does not act as the user's accountant, tax adviser, auditor, or legal adviser.

Users must independently verify that invoices comply with applicable tax and invoicing requirements before issuing them.

8.2 Sending invoices

Where available, users may send invoice documents to customers through an email integration or another supported communication method.

Before sending an invoice, the user is responsible for checking the recipient's email address, the invoice details, the attached document, and the message content.

The user must have the authority to issue and send the invoice on behalf of the relevant business.

8.3 Invoice records and corrections

Users are responsible for retaining and managing invoice records in accordance with applicable law and their contractual obligations.

Deltreq does not guarantee that a recipient has accepted an invoice, approved a claim, processed payment, or discharged an obligation merely because an invoice was generated or sent.

Any correction, cancellation, credit note, or replacement invoice must be handled in accordance with applicable law and the user's accounting procedures.

9. Gmail and third-party email integrations

Deltreq Transporter may offer an optional feature allowing a user to connect a Gmail or Google Workspace account and send invoices directly from the application.

9.1 User authorisation

To use this feature, you may be redirected to Google to authenticate and authorise the requested permissions.

You remain subject to Google's applicable terms, policies, and account restrictions. Deltreq does not receive your Google account password through the OAuth connection.

You are responsible for connecting an account that you own or are authorised to use for the relevant business.

9.2 Permitted functionality

The Gmail integration is intended to support invoice-related email sending, including attaching an invoice PDF and sending it to an intended recipient.

The permissions requested by Deltreq will depend on the implemented functionality. Where the integration requests only the Gmail sending permission, it is intended to send email and does not provide general inbox-reading access.

Deltreq will not claim access to Gmail functionality that has not been authorised by the user.

9.3 Email content and recipient verification

You are responsible for reviewing invoice details, recipient addresses, subject lines, message content, and attachments before sending.

You must not use the integration to send fraudulent invoices, impersonate another business, distribute malicious attachments, or send unlawful or unauthorised communications.

9.4 Sending status and delivery

An application message indicating that an email was sent may mean that the email provider accepted the sending request. It does not necessarily establish that the message reached the recipient's inbox, avoided spam filtering, was opened, or was acted upon.

Email delivery may be affected by provider outages, account restrictions, recipient-server rules, quotas, network failures, or other factors outside Deltreq's direct control.

Where the outcome of a sending request is uncertain, you should verify the status before attempting to send the same invoice again.

9.5 Disconnecting Google accounts

You may disconnect an authorised Google account through the available application controls, where supported. You may also revoke Deltreq's access through your Google account settings.

Following disconnection or revocation, the integration may no longer be able to send email until you reconnect and authorise the account.

Deltreq will handle stored authorisation credentials in accordance with its security practices, retention requirements, and Privacy Policy.

9.6 Third-party services

Google operates Gmail and its related infrastructure independently of Deltreq. Deltreq does not control Google's availability, account policies, sending limits, security decisions, or delivery infrastructure.

Your use of Gmail remains subject to Google's applicable terms and policies. Nothing in these Terms makes Deltreq responsible for Google's independent service decisions.

10. Uploaded documents and attachments

Users may upload invoices, proof-of-delivery documents, transport records, images, and other files supported by the services.

You represent that you have the necessary rights and permissions to upload, store, access, and share those files.

You must not upload files that are unlawful, malicious, misleading, or unrelated to an authorised business purpose.

Deltreq may apply file-type restrictions, size limits, access controls, security scanning, or other protective measures.

Private documents must not be shared with unauthorised recipients. Where a document is sent as an email attachment, the sender is responsible for confirming that the recipient is authorised to receive it.

Access to files may depend on account permissions, storage availability, retention requirements, and the continued availability of the relevant service.

11. Data protection and privacy

Deltreq processes personal information and business records in accordance with its Privacy Policy, available at:

The Privacy Policy describes the categories of information collected, the purposes of processing, relevant service providers, retention practices, security measures, and applicable privacy rights.

Depending on the service used, information may include account details, transport records, invoices, uploaded documents, email connection information, and records of invoice-email activity.

Where an organisation controls information entered into Deltreq, that organisation remains responsible for ensuring it has the necessary legal basis, notices, permissions, and authority to provide the information and use the services.

Deltreq will process information in accordance with applicable law, the Privacy Policy, and relevant contractual commitments.

12. Intellectual property

Deltreq and its licensors retain their respective rights in the software, website, designs, logos, documentation, and other materials provided through the services.

Subject to these Terms and any applicable agreement, Deltreq grants you a limited, non-exclusive, non-transferable right to use the services for their intended business purposes.

You must not copy, distribute, sell, sublicense, or commercially exploit Deltreq's proprietary materials except as expressly permitted.

You retain the rights you have in the business information and documents you lawfully submit, subject to the rights of other parties.

You grant Deltreq the limited rights necessary to host, process, display, transmit, and otherwise handle those materials to provide, secure, and maintain the services, comply with legal obligations, and perform applicable agreements.

Nothing in these Terms transfers ownership of your invoices or other business documents to Deltreq.

13. Third-party services and availability

Some features depend on third-party services, including cloud hosting, file storage, email delivery, authentication, and other integrations.

Deltreq does not control all aspects of these third-party services. Their availability and use may be subject to separate terms, technical limits, and service interruptions.

We will take reasonable steps to maintain the availability and security of our services, but we do not guarantee uninterrupted or error-free operation.

Features may be unavailable because of maintenance, technical problems, third-party outages, security incidents, legal requirements, or circumstances beyond our reasonable control.

14. Fees and subscriptions

Where a service is offered on a paid or subscription basis, its applicable fees, billing cycle, scope, and payment terms will be specified in the relevant order, subscription, invoice, or written agreement.

You agree to pay applicable charges in accordance with the agreed payment terms.

Unless otherwise stated in the relevant agreement or required by law, fees already paid are not refundable merely because a user chooses not to use the service.

Any taxes applicable to the fees charged by Deltreq will be handled in accordance with applicable law and the relevant billing terms.

Deltreq may suspend paid features for overdue amounts after any notice or process required under the applicable agreement or law.

15. Service changes and maintenance

Deltreq may update, improve, modify, or discontinue features as part of product development, security maintenance, operational requirements, or legal compliance.

Where a material change affects an existing contractual commitment, we will handle it in accordance with the applicable agreement and law.

We may temporarily restrict access to perform maintenance, investigate security incidents, or address operational issues.

Nothing in this section authorises Deltreq to disregard an express service commitment made under a separate written agreement.

16. Suspension and termination

You may stop using the services at any time, subject to any applicable contractual commitments.

Deltreq may suspend or terminate access where reasonably necessary because of:

A material breach of these Terms.

Fraud, unlawful conduct, or misuse of the services.

A security risk or suspected unauthorised access.

Non-payment under applicable subscription terms.

A legal or regulatory requirement.

Discontinuation of a service in accordance with applicable agreements.

Where reasonably practicable and legally permitted, Deltreq will provide notice and an opportunity to address the issue before suspension for a remediable breach.

Following termination, access to certain records or features may cease. Data retention, export, and deletion will be handled in accordance with the applicable agreement, Privacy Policy, and legal obligations.

Termination does not automatically eliminate outstanding payment obligations or rights and obligations that are intended to survive termination.

17. Disclaimers

To the extent permitted by applicable law, the services are provided on an "as available" basis, subject to the commitments expressly stated in an applicable written agreement.

Deltreq does not guarantee that:

Every feature will always be available.

Every record entered by a user will be accurate.

Every invoice will be accepted or paid by its recipient.

Every email will reach its intended recipient.

Third-party services will operate without interruption.

The software will satisfy every business, tax, accounting, or regulatory requirement without appropriate user review.

Users remain responsible for verifying important business records and decisions.

Nothing in these Terms excludes a warranty or protection that cannot lawfully be excluded.

18. Limitation of liability

To the maximum extent permitted by applicable law, Deltreq will not be liable for indirect, incidental, special, exemplary, or consequential losses arising from the use of the services, including loss of anticipated profits, business opportunities, or goodwill, where such exclusion is legally permitted.

Deltreq is not responsible for losses caused by inaccurate information supplied by users, unauthorised actions by users, or independent third-party service failures, except to the extent liability arises from Deltreq's own breach, negligence, misconduct, or other circumstances for which it is legally responsible.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury where exclusion is prohibited, or any other liability that cannot lawfully be excluded or limited.

Any additional liability cap, allocation of risk, or service-specific remedy must be set out in the applicable written agreement and must comply with applicable law.

19. Indemnity

To the extent permitted by applicable law, you are responsible for losses and claims arising from your unlawful use of the services, infringement of another party's rights, or material breach of these Terms.

Any obligation to indemnify Deltreq applies only to the extent that the relevant loss or claim results from your acts or omissions and is legally recoverable.

Nothing in this section requires you to indemnify Deltreq for losses caused by Deltreq's own unlawful conduct or other circumstances for which you cannot legally be held responsible.

20. Changes to these Terms

Deltreq may update these Terms to reflect changes to the services, legal requirements, security practices, or business operations.

The date at the beginning of this document indicates when the Terms were last updated.

Where a change materially affects your rights or obligations, we will provide notice through the application, website, email, or another appropriate channel where required by law or the applicable agreement.

Your continued use of the services after revised Terms take effect may constitute acceptance where permitted by applicable law. Where express acceptance is required, we will obtain it.

21. Governing law and disputes

These Terms are governed by the laws of India, subject to applicable conflict-of-law rules and mandatory legal protections.

The parties will endeavour to resolve disputes through good-faith discussions.

If a dispute cannot be resolved informally, it may be brought before a court of competent jurisdiction as permitted by applicable law.

Nothing in this section removes a consumer's or other protected person's right to bring a claim before a forum that cannot lawfully be excluded by contract.

22. Severability and waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure or delay by Deltreq in exercising a right does not, by itself, constitute a waiver of that right.

23. Entire agreement and precedence

These Terms, together with the Privacy Policy and any applicable service-specific agreement, form the terms governing your use of the relevant services.

Where a signed customer agreement or other binding written agreement expressly governs a particular matter, that agreement will prevail to the extent of any inconsistency with these general Terms.
